Macurex provides social media content production and related creative, production, and management services for brands and businesses. The specific scope, deliverables, timeline, and fees for any engagement are set out in the applicable proposal, statement of work, or written agreement ("Engagement Terms"). If these Terms conflict with Engagement Terms, the Engagement Terms control for that engagement.
Fees are as stated in the applicable Engagement Terms or invoice. Payments are processed by third-party payment processors, including Stripe. You authorise us and our processors to charge the payment method you provide for the amounts due. Unless otherwise agreed, invoices are due on receipt. Late amounts may result in suspension of work.
You agree to provide timely access to the materials, approvals, accounts, and information reasonably needed for us to perform the services, and you confirm that materials you provide do not infringe the rights of any third party.
Upon full payment, and unless the Engagement Terms state otherwise, you own the final deliverables produced for you. We retain ownership of our pre-existing materials, tools, and know-how, and grant you a licence to use them as embedded in the deliverables. Unless you tell us otherwise in writing, we may reference the work and your name or logo in our portfolio and marketing.
Each party will keep the other's non-public business information confidential and use it only as needed to perform under these Terms.
You may not use our website or services for anything unlawful, infringing, or harmful, or attempt to disrupt or gain unauthorised access to our systems.
Except as expressly stated in Engagement Terms, our website and services are provided "as is" without warranties of any kind, express or implied. We do not guarantee any particular commercial outcome, audience growth, or performance result from content we produce.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and our total aggregate liability arising out of or relating to the services is limited to the amounts you paid us for the services giving rise to the claim in the 12 months before the event. Nothing in these Terms excludes liability that cannot be excluded by law.
We may suspend or end access to our website or services for breach of these Terms. Sections that by their nature should survive termination (including payment obligations, intellectual property, confidentiality, disclaimers, and limitation of liability) survive.
We may update these Terms from time to time. The current version will always be posted at this page with its effective date. Continued use of the website or services after changes take effect constitutes acceptance.
These Terms are governed by the laws of the jurisdiction in which Macurex is established, without regard to conflict-of-laws rules, unless the applicable Engagement Terms specify otherwise.
